Terms of Service

1. Acceptance of Terms

By accessing or using SPAWN ("the Service"), operated by Bixblues Technologies ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

SPAWN is an autonomous AI agent platform. Users create AI agents that run in isolated Docker containers, connect to third-party tools via OAuth, and perform tasks using large language models. Agents can browse the web, interact with connected services (Gmail, Slack, Notion, HubSpot, GitHub, and others), and execute workflows autonomously.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

3. User Accounts

You are responsible for:

• Providing accurate and complete registration information.
• Maintaining the security of your account credentials.
• All activity that occurs under your account, including actions taken by your agents.
• Notifying us immediately at support@spawnagents.io if you suspect unauthorized access.

Accounts are managed through Keycloak. We may suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use SPAWN to:

• Violate any applicable law, regulation, or third-party rights.
• Gain unauthorized access to systems, networks, or accounts.
• Distribute malware, phishing content, or spam.
• Harass, threaten, or harm individuals.
• Engage in fraud, identity theft, or financial crimes.
• Scrape websites or collect data in violation of those sites' terms of service.
• Circumvent rate limits, spending controls, or other platform safeguards.
• Create agents that impersonate real people or organizations.
• Use the Service for any activity that could cause harm to minors.
• Interfere with or disrupt the Service or its infrastructure.

We reserve the right to investigate violations and may suspend or terminate your account without notice for egregious violations.

5. Agent Liability

You are fully responsible for all actions performed by agents you create and deploy on the platform. This includes:

• Emails sent, messages posted, code committed, or any other action an agent takes on your connected services.
• Data accessed, modified, or deleted by your agents.
• Compliance with the terms of service of any third-party service your agent interacts with.
• Any consequences arising from autonomous agent behavior, including unintended actions.

AI agents can behave unpredictably. We provide guardrails and spending controls, but these do not eliminate all risk. You should monitor your agents and review their outputs. We are not liable for damages caused by agent actions.

6. Payment Terms

6.1 Billing Model

SPAWN uses message-based billing. Each plan includes a monthly allocation of messages. Usage beyond your plan's included messages is billed as overage at the rate specified in your plan.

6.2 Payment Processing

Payments are processed by Dodo Payments. By subscribing to a paid plan, you authorize recurring charges to your payment method. You are responsible for keeping your payment information current.

6.3 Overages

If you exceed your plan's message limit, additional messages will be billed at the overage rate for your plan tier. Per-agent spending limits can be configured to help control costs, but it is your responsibility to monitor usage.

6.4 Refund Policy

Subscription fees are non-refundable. If you cancel mid-billing-cycle, you retain access until the end of the current billing period. We may, at our sole discretion, offer refunds or credits in cases of significant service disruption.

6.5 Price Changes

We may change pricing with at least 30 days' notice. Price changes take effect at the start of your next billing cycle.

7. Bring Your Own Key (BYOK)

If you provide your own API keys for LLM providers:

• You are responsible for the costs incurred on your own API keys. SPAWN does not track or limit spending on your external API accounts.
• Your keys are encrypted with AES-256-GCM and stored securely. They are decrypted only at the moment of use within isolated agent containers.
• You must comply with the terms of service of the API key provider.
• We are not responsible for charges, rate limits, or account actions taken by the API key provider.

8. Intellectual Property

The SPAWN platform, including its source code, design, documentation, and branding, is the intellectual property of Bixblues Technologies and is protected by applicable intellectual property laws.

You retain full ownership of your data, including agent configurations, chat history, agent memories, and any content generated by your agents. By using the Service, you grant us a limited license to process your data solely as necessary to operate the platform.

9. Service Availability

We aim to maintain high availability but do not guarantee specific uptime percentages. The Free tier is provided without any uptime commitment. Paid plans include commercially reasonable efforts to maintain availability, but we do not offer a formal SLA at this time.

We may perform scheduled maintenance with advance notice. In the event of unplanned outages, we will communicate status through our standard channels.

10. Data Ownership

You own your data. This includes all content you upload, agent configurations you create, chat messages, agent memories, and outputs generated by your agents. We do not claim ownership over your data.

We own the platform. This includes the SPAWN software, infrastructure, algorithms, aggregated and anonymized usage statistics, and all platform improvements.

Upon account deletion, we will delete your data as described in our Privacy Policy.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that agent outputs will be accurate, complete, or suitable for any particular purpose.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Bixblues Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Service, actions taken by your agents, or unauthorized access to your account.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Bixblues Technologies and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from: your use of the Service, actions taken by your agents, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or fraudulent activity. We will provide reasonable notice where practicable, except in cases of serious violation where immediate action is required.

You may terminate your account at any time by contacting support@spawnagents.io or through your account settings. Termination does not entitle you to a refund for the current billing period.

Upon termination, your agents will be stopped and your data will be handled as described in our Privacy Policy.

15. Dispute Resolution

If a dispute arises, you agree to first attempt to resolve it informally by contacting us at legal@spawnagents.io. If the dispute is not resolved within 30 days, either party may pursue formal resolution.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in India.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email and by posting the revised Terms with an updated date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
